Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of Offbeat (the "Platform"), including our website, ticket checkout, organizer tools, and related services (collectively, the "Services"). By creating an account, purchasing tickets, listing an event, or otherwise using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or purchase tickets. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" includes that organisation.

3. Your account

You are responsible for accurate account information, keeping login details secure, all activity under your account, and notifying us promptly if you suspect unauthorised access.

4. Ticket purchases and payments

When you buy tickets through Offbeat:

• Each sale is also subject to the relevant event organiser's policies, including refunds or exchanges where stated on the event page.
• You authorise us and our payment partners (including M-Pesa, Pesapal, and card processors) to charge your selected payment method for the amount shown at checkout.
• Fees, taxes, or charges shown before you confirm are part of the price you agree to pay.
• Digital tickets are delivered by email and/or your account after successful payment unless the organiser states otherwise.

5. Lipa Pole Pole (installment payments)

Where enabled for an event, you may pay in instalments until the order is fully paid. By starting a Lipa Pole Pole plan you authorise each scheduled charge to your selected payment method. Tickets may be issued or remain valid only while payments are up to date. Partial payments count toward the order total as shown in your account and payment status pages.

6. Refunds, cancellations, and changes

Refund and exchange rules are set by the event organiser unless we state otherwise on the event page or at checkout. If an event is cancelled, postponed, or materially changed, your entitlement to a refund, credit, or new date depends on the organiser's policy and applicable Kenyan law.

Offbeat processes refunds only when authorised by the organiser or required by law. Contact the organiser first for event-specific refund requests.

7. Tickets, resale, and transfer

Tickets are for personal use unless the organiser explicitly allows transfer. Unauthorised resale, duplication, or sharing of barcodes or QR codes may result in cancellation without refund.

Only the registered ticket holder shown in our system is entitled to entry. Tickets obtained outside Offbeat are used at your own risk and may be invalid.

8. Event attendance

Attendance is at your own risk. Organisers and venues may set entry rules, age limits, and security requirements and may refuse entry without refund for breach of those rules or applicable law.

9. Role of Offbeat

Offbeat provides ticketing technology for organisers to list events and sell tickets. Unless we clearly state otherwise, we are not the event organiser, producer, or venue operator.

Organisers are the seller of record for their events. The contract to attend an event is between you and the organiser. We act as a limited commercial agent to facilitate listing, sales, and payment collection on the organiser's behalf where applicable.

10. Organiser responsibilities

Organisers are solely responsible for their events, including accuracy of listings, pricing, capacity, cancellations, compliance with law, and fulfilment of the event experience. Organisers must not list unlawful, misleading, or harmful events or content.

11. Acceptable use

You may not use the Services to violate law, interfere with platform security, commit fraud, scrape or overload our systems without permission, or misuse tickets or payment flows.

12. Intellectual property

Platform branding, software, and design are owned by or licensed to Offbeat. Event posters and descriptions remain the property of their respective organisers. You may use the Services for lawful personal or authorised commercial ticketing purposes only.

13. Chargebacks and disputes

Contact us before initiating a chargeback on a valid purchase so we can help resolve the issue. Unwarranted chargebacks may lead to account suspension and ticket cancellation.

14. Disclaimers

The Services are provided "as is" and "as available". We do not guarantee uninterrupted access, that events will proceed as advertised, or that organisers will perform as expected.

15. Limitation of liability

To the maximum extent permitted by Kenyan law, Offbeat and its affiliates are not liable for indirect, incidental, or consequential damages arising from use of the Services or attendance at events. Our total liability for a claim relating to the Services is limited to the fees you paid to us for the transaction giving rise to the claim, or KES 7,000, whichever is greater, except where liability cannot be limited by law.

16. Indemnification

You agree to indemnify Offbeat against claims arising from your misuse of the Services, breach of these Terms, or, for organisers, the events you list and operate.

17. Force majeure

We are not liable for failure or delay caused by events beyond reasonable control, including natural disasters, government action, network outages, or payment-system failures.

18. Termination

We may suspend or terminate access if you breach these Terms, create risk for other users, or engage in fraud. Provisions on payments, liability, and indemnity survive termination.

19. Governing law

These Terms are governed by the laws of Kenya. Disputes are subject to the exclusive jurisdiction of the courts in Nairobi, Kenya, unless mandatory law requires otherwise.

20. Changes

We may update these Terms from time to time. The effective date at the top will change when we do. Continued use after changes take effect means you accept the updated Terms.
